Responsibilities

Peraton's Corporate Counsel – Ethics and Investigations position supports the Ethics & Compliance Office and Corporate Investigations team within the Peraton Legal Department. The individual in this role will work closely with Peraton’s functional and management personnel, outside counsel and other members of the Legal Department to support Peraton’s Ethics and Compliance program and internal investigations function. Responsibilities will include evaluating and dispositioning personal and post-government employment conflict of interest disclosures and business courtesy requests, overseeing Peraton’s whistleblower hotline and coordinating and conducting compliance investigations on behalf of the company across a diverse set of subject matters and issues. This position involves significant responsibility with respect to corporate and federal procurement compliance and business operations support.

 

 

Primary areas of responsibility include:

 

  • Ethics and Compliance – work closely with Peraton’s Talent Acquisitions organization to support new hire personal and post-government employment conflict of interest screenings.  Evaluate and disposition personal conflict of interest disclosures and business courtesy requests submitted by current employees to ensure compliance with applicable legal, regulatory, and ethics standards. Oversee and manage Peraton’s whistleblower hotline and ethics mailbox. Support Peraton’s ethics and compliance awareness activities and compliance training program.

  • Corporate Investigations – independently conduct significant company investigations involving compliance with Peraton’s internal policies, code of conduct and applicable laws and regulations relating to contractor integrity, to include responsibility for all aspects of internal review, risk assessment, fact gathering and analysis, briefing stakeholders, counseling, and implementation of any corrective actions;
    • Manage the company’s response to government investigations, external inquiries and requests for information from investigative/law enforcement authorities, including interacting and negotiating with representatives from government agencies;
    • Advise management and employees regarding risk assessment and mitigation relating to various business activities including compliance with company policies/procedures and applicable laws and regulations, and
    • Supervise the work of outside counsel and internal personnel on matters relating to allegations of unethical or unlawful conduct.
    • Support the development, implementation and maintenance of corporate governance to ensure continued compliance with all applicable laws and regulations across the business enterprise and maintain effective coordination across all functional support teams, including finance, corporate investigations, risk management, tax, and internal audit, to provide investigative support to all legal and regulatory compliance matters.
  • Business Operations Support – work closely with other members of the Legal Department and Peraton management to support the implementation of compliance-related enhancements, lessons learned and corrective actions within the company’s ongoing contracting and business development activities in support of the U.S. Government.  Advise on contract, subcontract and teaming agreement execution and compliance issues, including potential mandatory disclosure reporting and organizational conflicts of interest issues.

Qualifications

The position requires candidates with a J.D. and 7+ years of experience in corporate compliance and/or ethics, including specific experience with conducting and managing internal investigations relating to fraud, waste, and abuse, U.S. Government contractor compliance, and/or matters involving potential violation of the law, review of potential personal conflicts of interest, post-government employment restrictions and gifts/gratuities requests. Substantial in-house or law firm experience in the federal contracting industry and excellent law school credentials are highly desirable.

Bar: Juris Doctor and a member in good standing of the bar in at least one U.S. jurisdiction.

Security clearance: possession of or eligibility to obtain a Top Secret clearance.

Location: Hybrid – sometimes may need to report to the office/travel

Target Salary Range

$146,000 - $234,000. This represents the typical salary range for this position based on experience and other factors.
